Terms of Service — SpinShape

1) Eligibility & Agreement

You must be of legal age to enter into a binding contract in your jurisdiction (typically 18+) and use the Site for personal, non-commercial purposes. By accessing or using the Site, you confirm you have read, understood, and agree to be bound by these Terms and the Policies. If you do not agree, do not use the Site.

We may update these Terms at any time by posting a revised version on the Site and updating the “Last updated” date. Your continued use after changes means you accept the updated Terms.

2) Accounts

You may browse without an account, but certain features may require one. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3) Products, Pricing & Availability

We aim to display product information (descriptions, images, ingredients, sizes) accurately; however, minor variations may occur. Prices, promotions, and availability are subject to change at any time without notice. Taxes, duties, and shipping costs (if applicable) are shown at checkout.

We may limit or cancel quantities per person, per household, or per order (including orders placed under the same account, payment method, or shipping address). We may refuse or cancel any order for suspected fraud, abuse, or resale.

4) Orders & Payment

By placing an order, you offer to purchase the selected items at the prices and terms shown. We only accept your offer when we dispatch the order and send a shipping confirmation (order confirmation alone does not constitute acceptance). We reserve the right to reject or cancel orders and will refund any amounts charged if we do so.

You authorize us and our payment processors to charge your selected payment method. We do not store full card details; payment data is handled securely by our processor.

5) Shipping, Risk of Loss & Delivery

Shipping options, costs, and delivery estimates are shown at checkout and in our Shipping Policy. Title and risk of loss pass to you upon delivery to the carrier, except where applicable law provides otherwise. Delivery timelines are estimates and may be affected by carrier delays, customs, or events beyond our control.

6) Returns, Exchanges & Refunds

Our Refund Policy explains return windows, eligibility, and procedures. You must follow that process (including any Return Authorization) before sending items back. Items returned contrary to the policy may be refused or subject to fees unless required by law.

7) Subscriptions & Auto-Renewals (if offered)

If you enroll in a subscription, your plan will auto-renew at the stated interval at the then-current price until canceled. You authorize recurring charges to your payment method. You can cancel before the next renewal in your account or by contacting us. Partial periods are generally not refunded unless required by law.

8) Promotions, Coupons & Gift Cards

Promotional codes, discounts, and gift cards are subject to their own terms, may be single-use, non-transferable, and cannot be combined unless stated. We may modify or terminate promotions at any time.

9) User Content (Reviews, Photos, Feedback)

If you submit reviews, photos, or feedback (“User Content”), you grant SpinShape a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, translate, create derivative works from, and display such content in any media for marketing and operational purposes. You represent that you own or have rights to the User Content and that it does not infringe any third-party rights or violate law. We may edit or remove User Content at our discretion.

10) Intellectual Property & Limited License

All content on the Site—including text, graphics, logos, images, product names, videos, and code—is owned by or licensed to SpinShape and protected by IP laws. We grant you a limited, revocable, non-transferable license to access and make personal, non-commercial use of the Site. Any other use (including scraping, reverse engineering, framing, data-mining, or resale) is prohibited without our prior written consent.

11) Acceptable Use

You agree not to:

  • use the Site for unlawful purposes;

  • submit false, misleading, or fraudulent information;

  • interfere with Site security or operation;

  • upload malware or harmful code;

  • collect data from the Site except as permitted;

  • harass, abuse, or violate the rights of others.

We may suspend or terminate access for violations.

12) Health & Safety Disclaimer

Our products (including fitness accessories, teas, supplements, or related items) are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease. Results may vary. Consult your physician before starting any new fitness or wellness regimen, especially if you have a medical condition, are pregnant/nursing, or take medications. Use products only as directed and follow all safety instructions.

13) Third-Party Services & Links

We may link to third-party websites or integrate third-party services (e.g., payments, analytics, marketing). We are not responsible for their content, policies, or practices. Your use of third-party services is governed by those providers’ terms and privacy policies.

15) Disclaimer of Warranties

16) Limitation of Liability

To the fullest extent permitted by law, SpinShape and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Site or products, even if advised of the possibility of such damages. Our total liability for any claim will not exceed the greater of (a) the amount you paid for the product giving rise to the claim, or (b) USD 100 (or equivalent).

Some jurisdictions do not allow certain disclaimers or limitations; in such cases, they apply to the maximum extent permitted.

17) Indemnification

You agree to indemnify and hold harmless SpinShape and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your use of the Site or products (other than as permitted), or your violation of law or third-party rights.

18) Governing Law & Disputes

These Terms and any disputes arising out of or relating to them or the Site/products are governed by the laws of [insert your country/state], without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the courts located in [insert city/region] for all disputes that are not subject to arbitration or that proceed in court. 19) Termination

We may suspend or terminate your access to the Site at any time with or without notice for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or for any other lawful reason. Upon termination, the provisions that by their nature should survive will survive (e.g., IP, disclaimers, limitations of liability, indemnity, governing law).

20) Force Majeure

We are not liable for any failure or delay due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor conditions, governmental acts, utility or internet interruptions, or supply chain disruptions.

21) Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions will remain in full force.

  • No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.

  • Assignment: You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

  • Entire agreement: These Terms and the Policies constitute the entire agreement between you and SpinShape regarding the Site and products.
